Regulatory compliance in Nepal

A licence is not a one-time document. The business must continue to satisfy its scope, conditions, reporting, inspection, renewal and change-notification rules while also maintaining company, tax, local, labour, environmental and product compliance.

Quick answer

Create one obligations register for every entity, location, product and licence. For each obligation record the legal basis, authority, frequency, internal owner, documents, approval dependency and evidence of completion. Review it monthly and before any change in ownership, location, activity, capacity, technical staff or product.

1. Maintain corporate good standing

Keep shareholder, director, registered office, capital and constitutional records current. Hold required meetings, approve audited accounts and submit applicable annual returns and changes to the Office of Company Registrar.

The corporate filing does not renew sector licences, and a sector renewal does not cure overdue company filings.

2. Tax and invoicing

Maintain the correct PAN/VAT status, invoices, books, withholding, payroll, returns, audit and tax-clearance records. Reconcile tax filings with financial statements and regulator reports.

Review VAT status when turnover, products or services change. IRD confirms that income tax and VAT use one PAN, but a PAN-only business must complete VAT registration when applicable.

3. Local business compliance

Track municipal or rural-municipal business tax, registration renewal, signage, premises, waste, local recommendation and operating requirements. A move to a new ward or municipality can change the process.

4. Licence conditions and renewals

Read each licence rather than recording only its expiry date. Conditions may govern permitted activity, location, capacity, technical staff, display, records, inspections, product labels, reporting and prior approval for changes.

Start renewal preparation early. Gather the original licence or certificate, tax clearance, audit, activity report, fee receipt, inspection evidence and technical-person records required by that regulator.

5. Labour and workplace

Maintain written employment terms, attendance, wages, leave, benefits, payroll withholding, workplace safety, disciplinary records and applicable Social Security Fund compliance. Complete labour-audit or regulatory filings where required.

Contractor labels should match the real working relationship. Foreign workers require the applicable labour recommendation, work authorisation and immigration status.

6. Environmental and safety conditions

Implement monitoring, waste, emissions, safety, emergency and reporting conditions in the approved environmental documents and operational permits. Retain laboratory results, manifests, training, incident records and regulator correspondence.

Expansion or process change may require a fresh screening or amendment before installation.

7. Product, consumer and e-commerce duties

Control product specifications, testing, labels, prices, warranties, claims, advertisements, complaints, recalls and supplier records. Online businesses should preserve seller identity, transaction, disclosure, delivery, return, refund and complaint records required by applicable law.

8. Change management

Before implementing a change, ask whether prior notice or approval is required for: - shareholders or beneficial ownership; - directors or authorised signatories; - registered office or operating location; - business objects or activity; - investment, capacity or machinery; - product formula, label or brand; - technical personnel; - merger, transfer or closure; and - foreign funding, technology or royalty arrangements.

9. Inspections and regulator notices

Designate trained contacts, verify inspector identity, cooperate lawfully, preserve the notice and inspection record, and avoid unsupported oral admissions. Create a corrective-action log with responsibility and evidence.

Meet response and appeal deadlines. A reply should address facts, law, documents, remediation and requested outcome.

10. Regulatory due diligence

Before investment, acquisition, financing or expansion, compare actual operations with certificates, tax, local, industry, sector, labour, environment and product records. Quantify missing approvals, penalties, closure risk and remediation dependencies.
