A Nepal executive agreement should align employment with corporate authority, define measurable incentives, protect specific confidential information and work product, respect privacy, control conflicts, document changes and coordinate lawful exit.
Senior titles do not remove labour-law protection. An executive agreement should combine mandatory employment terms with precise corporate authority, incentive, confidentiality, intellectual-property, conflict and exit provisions.
Confirm whether the person is employee, director, office-holder or several of these. Align the employment contract with board authority and company records; define decision limits, remuneration and measurable incentives; protect specific confidential information and work product; address privacy and monitoring; control conflicts and outside interests; document amendments; and make exit terms follow Nepal labour and company law.
A managing director or chief executive may be both employee and corporate office-holder. Appointment or removal from office does not automatically answer every employment right, and termination of employment does not automatically complete company record changes.
Use consistent board resolutions, delegation matrix, appointment, employment agreement and OCR records. State who supervises performance and who may vary or terminate the agreement.
Define authority for contracts, hiring, banking, spending, borrowing, procurement, litigation, regulatory communication and data access. A job title should not be the only delegation control.
Address conflicts of interest, related-party transactions, gifts, anti-bribery, compliance reporting and disclosure of outside positions. Provide a practical approval route rather than an absolute ban on every outside activity.
Separate basic remuneration, allowances, benefits, annual bonus, sales commission, equity-linked incentives and expense reimbursement. Define objective targets, weighting, evidence, approval, partial years, leave, misconduct, resignation, termination and payment timing.
Equity, shares or options require company-law, tax and foreign-investment analysis in addition to an employment clause. Do not promise instruments the company has not validly authorised.
List protected categories such as strategy, pricing, customer data, source code, security, product roadmaps, finances, unpublished research and personal information. Exclude information already public, lawfully known or independently developed.
State permitted work use, security requirements, disclosures required by law, incident reporting and post-exit return or deletion. Confidentiality should not prevent lawful whistleblowing, regulator cooperation or reporting misconduct.
Identify software, documents, designs, research, inventions, data sets, domains and other work product the role is expected to create. Nepal copyright and patent ownership can depend on the type of right, circumstances and agreements.
Use present, specific ownership and further-assurance language where appropriate. Preserve moral-right and attribution issues instead of using an implausible claim to all ideas created at any time. Record pre-existing employee materials and third-party/open-source inputs.
Employment records can contain citizenship, bank, health, family, location and performance data. Explain collection, purpose, access, security, retention, disclosure and cross-border processing consistent with Nepal's privacy law.
Monitoring of email, devices, location or security systems should be necessary, proportionate and communicated. Company ownership of equipment does not make every private use risk-free.
Use confidentiality, non-solicitation, conflict, notice, garden-leave or non-compete concepts only after enforceability and proportionality review. Define the legitimate interest, activity, people, territory and duration narrowly.
An overbroad foreign non-compete clause may be difficult to enforce and can distract from stronger confidentiality, IP and access controls.
Record changes to title, authority, pay, incentive, workplace, remote arrangement or duration through a signed amendment and necessary board action. Do not rely solely on email or changed payroll.
International assignment or foreign-worker terms should address work permission, visa, tax, social security, housing, travel, dependants, repatriation, secondment authority and which entity is employer.
State notice and lawful termination process without foreign at-will language. Address resignation acceptance, handover, board or OCR changes, access revocation, property, data, public communication, final settlement and continuing obligations.
Settlement and release language should be voluntary and cannot validly eliminate mandatory rights or protected reporting. Coordinate the last working day with the corporate office-removal date rather than assuming they are identical.
