Overview

Company registration in Nepal creates a separate legal entity under the Company Act, 2063. Registration is administered by the Office of the Company Registrar (OCR). Incorporation alone does not replace sector licences, foreign-investment approval, tax registration or local business permissions that may apply to a particular activity.

1. Choose the appropriate company structure

Most closely held businesses use a private limited company. A public company is designed for wider ownership and is subject to additional capital, governance and reporting rules. A not-for-profit company is appropriate only where profits will not be distributed to members. The structure should be chosen before drafting documents because promoter requirements and constitutional forms differ.

2. Reserve an acceptable company name

Create an account in the OCR online system and submit the proposed name and business objectives. The name should be distinctive, should not mislead the public and should not conflict with a registered name or restricted expression. Prepare alternative names because name approval is not guaranteed.

3. Prepare the constitutional documents

Prepare the memorandum of association and articles of association in the form applicable to the chosen company type. They should accurately describe the objectives, authorised capital, share allocation, governance, registered office and promoter details. Each promoter should review names, citizenship or passport numbers, addresses, share numbers and signatures for consistency.

4. Collect promoter and approval documents

Nepali individual promoters generally provide certified citizenship copies. A corporate promoter provides its registration documents, board decision, investment details and representative authority. Foreign promoters require the applicable foreign-investment approval and authenticated identity or corporate documents. Regulated activities may require prior approval from the relevant regulator.

5. Submit the online application

Upload the required application, promoter documents, memorandum, articles and approvals through the current OCR registration platform. Complete all mandatory data fields consistently with the signed documents. Keep the account credentials secure because later company filings also use the electronic system.

6. Respond to OCR review

The OCR may request clarification or correction where an objective is unclear, a document is inconsistent, an approval is missing or the proposed structure does not comply with law. Respond through the official workflow and replace corrected documents carefully. Registration is completed only after approval and payment of any applicable government charge.

7. Complete post-registration work

After receiving the incorporation certificate, obtain PAN or VAT registration as applicable, open the company bank account, issue and maintain share records, appoint required officers and secure sector or local permissions before beginning regulated business. Maintain accounting records and submit annual returns and financial statements within applicable deadlines.
